Terms of Agreement
1. Authorization
As a partner in promoting Rome, (business name) ____________________________________________ is engaging The Printed Word (TPW) located at 176 Northwood Circle, Rome, New York, 13440, as an independent contractor to develop material for the 2004-2005 When-in-Rome© Tourism CD, and its subsequent distribution to motorcoach operators and teacher centers. The partner also authorizes The Printed Word to include this project material on the companion When-in-Rome.com© Web site, and use in other promotional activities.
2. Partners' Content on When-in-Rome.com© CD and Web site
Partner will supply all content for three pages, including:
• Up to 250 words (max) per page of text, to be supplied by the partner in digital form as rich text format (rtf), plain text (txt), or other agreed-upon format, or entered online at http://partners.when-in-rome.com
•One high-resolution logo, and two high-resolution photos and/or graphic images per page, to be supplied by partner in digital format or to be scanned by TPW
Each partner will be able to review its material, either via Internet, hard drive files or in paper representation.
3. Additional Pages
If the partner desires more than three pages, the partner agrees to pay The Printed Word at the regular hourly rate of $60 per page. Any additional work not specified in this contract must be authorized in writing. All agreements become effective only when signed by the partner and co-signed by The Printed Word.
4. Liability Waver
In no event shall The Printed Word be liable to the partner or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate the CD or companion Web site, even if The Printed Word has been advised of the possibility of such damages.
5. Copyrights and Trademarks
The partner unconditionally guarantees to The Printed Word that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to The Printed Word for inclusion in pages are owned by the partner, or that the partner has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend The Printed Word from any claim or suit arising from the use of such elements furnished by the partner.
6. Payment of Fees
Fees to The Printed Word of $750 are due and payable on the following schedule:half upon signing this agreement and half when the pages have been completed and approved.
